Q: Why did you decide to call your company Intelligent Wave?
A: The name has a loose correlation with the book “The Third Wave” by noted social critic Alvin Toffler, which was popular around the time the company was founded in December 1984.

Q: What kind of company is Intelligent Wave? Do you have capital affiliations with any other companies?
A: Intelligent Wave is an independent software company. We have no shareholding or ownership affiliations with any other company. We work directly with our customers, not as a subcontractor, and handle all phases of development in-house. We consult with our customers during the processes of specification development, basic design, coding/debugging, system testing, performance evaluation, installation and maintenance. This enables us to provide our customers with a high level of quality, service and satisfaction in the delivered product.

Q: When does the company's fiscal year start and end for accounting purposes?
A: It is from July 1 to June 30 of the following calendar year.

Q: Do you pay mid-year dividends?
A: The system in place for such, but presently dividends are only paid once a year.

Q: Is your basis of recognition for revenue from contract software development on a work-in-progress basis or a work-completed basis?
A: We use a work-completed basis. However, in the case of projects with lengthy delivery timetables, the contract language segments the work and provides for separate receipt and inspection of individual segments. Sales figures reflect the receipt of these separate project segments.

Q: Why did you change the timing for actualization of CWAT sales totals?
A: When we conducted our annual audit, our accounting firm advised us to change the timing of actualization of sales from the time when the resale agent receives the license certificate to either the time when the license key is provided to the end user or the time when the obligation is collected from the resale agent. Upon further consideration, we decided to change the timing of the actualization of sales from this fiscal year.

Q: Why did you do a one-for-two stock split in July 2006?
A: The purpose of the stock split is to increase liquidity of Intelligent Wave stock and attract a broader spectrum of investors by making it easier for investors to purchase Intelligent Wave stock.

Q: What is the minimum share units that can be purchased ?
A: We can sell single shares of our stock.

Q: Do you have a shareholder special benefit plan?
A: Yes, we do. Shareholders can receive shareholder special benefit versions of Virus Chaser (only Japanese Windows Ver.) antivirus software for up to five users for one year.

In the future we plan to provide new serial numbers to shareholders each quarter, and by re-entering these new serial numbers, shareholders can continue to use the software.
However, when provided as a shareholder special benefit, Virus Chaser is not eligible for the virus insurance program.
In addition, shareholders may continue to use one license free of charge as long as they continue to own Intelligent Wave stock, but the other four licenses expire at the end of the free trial period. Those who wish to continue using these licenses must pay an annual update fee of \1,995 per license and must register as users. These licenses will then qualify for the virus insurance program.

Q: How does a shareholder qualify for the special benefit plan?
A: Shareholders qualify by having their name entered in the shareholder registry (as of June and December quarterly accounting closing dates). Year-end and mid-year reports are sent to shareholders, with information about the stockholder special benefit plan enclosed (including serial numbers). Normally the year-end report is sent in late September, and the mid-year report is sent in mid-March.
